Group 4 Falck A/S has entered into an agreement to sell all the shares of Global Solutions Limited (GSL), its UK based facilities managementbusiness, to Englefield Capital and Electra Partners Europe.

Group 4 Falck A/S has entered into an agreement to sell all the shares of Global Solutions Limited (GSL), its UK based facilities management
business, to Englefield Capital and Electra Partners Europe for a total consideration of DKK 2,310 million (œ207.5m), payable in cash, of which DKK 1,030 million (œ92.5m) will be paid to Group 4 Falck within seven days. The remainder of the consideration is to be paid at completion, expected to take place on 1 July.

Merger terms

Under the terms of the proposed merger between Group 4 Falck’s security business and Securicor, GSL was to form part of the demerged Falck group together with the Rescue & Safety business of Group 4 Falck. The sale of GSL provides strategic and operational advantages to both Falck and GSL, the firms say. Falck will be able to focus on its core business within Rescue & Safety, and any uncertainty relating to Falck’s possible future divestment of GSL is eliminated. Likewise GSL will be able to pursue its own focused strategy with a parent committed to helping fund its long-term
future. As previously announced it is intended that a significant proportion of the net proceeds from
the disposal of GSL will be returned to the shareholders of Falck taking into account Rescue
& Safety’s strategic plans. Further details are expected to be announced on completion of the
sale.
